1. Definitions

In these Terms and Conditions:

  • "Firm" refers to Resolve Partners and our legal practitioners
  • "Client" refers to you, the person or entity engaging our services
  • "Services" refers to debt recovery and collection services we provide
  • "Agreement" refers to these Terms and Conditions plus any engagement letter
  • "Matter" refers to the specific debt recovery case we handle for you

2. Acceptance of Terms

By engaging our services or using our website, you agree to be bound by these Terms and Conditions. If you do not agree, please do not engage our services.

These terms apply to all services provided by Resolve Partners, including demand letter preparation, statutory demand issuance, and court proceedings.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements.

3. Scope of Services

We provide debt recovery and collection services in Hong Kong, including:

  • Preparation and sending of demand letters
  • Statutory demand procedures
  • Court proceedings and litigation
  • Judgment enforcement measures
  • Settlement negotiations on your behalf

The specific services we provide will be outlined in our engagement letter. We are not responsible for services outside the agreed scope.

Our services are available only within Hong Kong jurisdiction. We do not handle matters in other countries unless specifically agreed in writing.

4. Client Responsibilities

As our client, you agree to:

  • Provide accurate and complete information about debts being pursued
  • Supply necessary documentation in timely manner
  • Respond promptly to our requests for instructions or information
  • Pay our fees and disbursements as agreed
  • Inform us of any changes affecting the matter
  • Not mislead us or withhold relevant information

Failure to meet these responsibilities may affect our ability to provide effective services and may result in termination of our engagement.

5. Fees and Payment

5.1 Fee Structure

Our fees are quoted in Hong Kong Dollars (HKD) and may be charged as:

  • Fixed fees for specific services (e.g., demand letters, statutory demands)
  • Hourly rates for court proceedings and complex matters
  • Combination of fixed and hourly fees depending on the matter

5.2 Payment Terms

Unless otherwise agreed:

  • Fees are payable upon engagement or as specified in our invoice
  • Disbursements (court fees, service costs) are charged in addition to our fees
  • Invoices are payable within 14 days of issue
  • We may require advance payment or retainer for certain services

5.3 Late Payment

Overdue amounts may incur interest at 2% per month. We reserve the right to suspend services for non-payment until accounts are brought current.

6. Professional Standards

We conduct our services in accordance with:

  • Hong Kong legal professional conduct rules
  • Applicable laws governing debt recovery
  • Our professional obligations and standards
  • Client confidentiality requirements

We maintain professional indemnity insurance as required by law.

7. Disclaimers

7.1 No Outcome Guarantees

While we use our best efforts, we cannot guarantee specific outcomes in debt recovery matters. Success depends on many factors including debtor circumstances, available assets, and court procedures.

7.2 Recovery Prospects

We provide realistic assessments of recovery prospects, but actual results may differ. Obtaining judgment does not ensure payment if the debtor lacks assets or means to pay.

7.3 Third-Party Actions

We are not responsible for actions of debtors, courts, or other third parties beyond our control.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the fees paid for the specific matter
  • We are not liable for indirect, consequential, or punitive damages
  • We are not liable for losses arising from client's failure to provide instructions or information
  • Our liability excludes losses preventable by client's reasonable actions

This limitation does not apply to liability that cannot be excluded by law, such as fraud or willful misconduct.

9. Confidentiality

We maintain strict confidentiality regarding your information, subject to:

  • Legal and professional obligations requiring disclosure
  • Your express authorization to disclose
  • Disclosure necessary to pursue debt recovery (e.g., to courts, debtors)
  • Requirements of Hong Kong law or court orders

10. Termination

10.1 Client Termination

You may terminate our engagement at any time by written notice. You remain liable for fees for work completed and reasonable costs incurred to that point.

10.2 Our Termination

We may terminate our engagement if:

  • You fail to pay fees or provide required retainer
  • You fail to provide necessary instructions or information
  • Conflict of interest arises
  • Continuing would breach our professional obligations

10.3 Effects of Termination

Upon termination, we will provide accounting of work done and costs incurred. We may retain your files until all outstanding fees are paid, subject to our professional obligations.

11. Dispute Resolution

If you have concerns about our services:

  • Contact us first to resolve the matter informally
  • If unresolved, follow our formal complaints procedure
  • You may refer complaints to relevant professional bodies

These Terms are governed by Hong Kong law. Disputes will be subject to the exclusive jurisdiction of Hong Kong courts.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our engagement letter, constitute the entire agreement between us and supersede all prior understandings.

12.2 Amendments

We may update these Terms periodically. Changes apply to services engaged after the update date. Continued engagement after changes indicates acceptance.

12.3 Severability

If any provision is found invalid, the remaining provisions continue in full force.

12.4 Waiver

Our failure to enforce any provision does not constitute waiver of that provision.

12.5 Assignment

You may not assign your rights or obligations under this Agreement without our written consent. We may assign our rights with reasonable notice to you.
